The Big Challenge Contest Rules

BIG CHALLENGE OFFICIAL RULES

Welcome to the BIG Challenge (“Challenge”), sponsored by Tremco CPG Inc. (“Tremco”). 

Entry into the BIG Challenge constitutes acceptance of these Official Rules and creates a legally binding agreement between Tremco and each individual and/or business enterprise participating in the Challenge (each or together, “You” or an “Applicant”). Tremco reserves the right to disqualify any Applicant who does not comply with these Official Rules. In the event an Applicant fails to satisfy any of the Eligibility Requirements or comply with these Official Rules, the Applicant shall be disqualified and any and all rights and title to any prize(s) the Applicant may have otherwise been entitled to shall be forfeited and the prize(s) may i) be awarded to another eligible Applicant, or ii) may not be awarded at all, at Tremco’s sole discretion. 

BY SUBMITTING AN ENTRY, YOU (A) REPRESENT AND WARRANT THAT YOU ARE ELIGIBLE TO PARTICIPATE IN THE CHALLENGE; (B) HAVE READ AND AGREE TO BE BOUND BY THESE OFFICIAL RULES; AND (C) AGREE TO BE BOUND BY ANY DECISIONS MADE BY THE JUDGES WITH RESPECT TO YOUR ENTRY. YOU HEREBY REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY, THE RIGHT, AND THE CAPACITY TO ENTER INTO THIS AGREEMENT.

1. ELIGIBILITY REQUIREMENTS: NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.

To enter the Challenge, you must:

  1. be an individual or an owner, founder, member, employee, agent, or other representative of a business enterprise that meets the following Eligibility Requirements:
    1. is in the startup, seed-capital, or early-growth stage;
    2. operates in/serves the construction industry; and
    3. provides a solution to a construction industry problem, adds innovative value to the construction industry, and/or could lead to growth or job creation in the construction industry through the products and/or services offered; 
  2. have the legal authority to act on behalf of and bind said business enterprise; and 
  3. be at least 18 years of age and a legal resident of the United States of America at the time of entry. 

Employees of Tremco and its affiliates, and persons living in the same household as such individuals (whether related or not) are not eligible to enter. Applicants may be required to provide Tremco with proof that they meet all Eligibility Requirements. VOID where prohibited. All federal, state, and local laws and regulations apply.

Business enterprises with any of the following characteristics do not satisfy the Eligibility Requirements and are not eligible to enter the Challenge:

  1. business enterprises that are only considered new by virtue of a recent merger, acquisition, buyout, or other corporate restructuring; 
  2. business enterprises that are considered to be franchises; 
  3. business enterprises that have raised equity capital from sources other than direct members of the business, their friends, or their families (e.g. business enterprises that have obtained private equity backing); 
  4. business enterprises whose sole purpose is to act as a passive distributor of products or services under a licensing agreement; and/or 
  5. business enterprises that are subsidiaries of a non-US business entity.


2. HOW TO ENTER 

To enter the Challenge, complete and submit the entry found at https://www.tremcocpg.com/the-big-challenge/big-form. The entry must be submitted no later than 11:59 pm EDT on October 21, 2022. Late entries will not be accepted. No exceptions. All entries become the sole property of Tremco and will not be returned.


3. SELECTION PROCESS 

The Challenge will start on August 1, 2022, and end on October 21, 2022. A screening committee comprised of Tremco personnel will review and evaluate all entries to select the top applicants to advance to the in-person pitch session. One individual representing each of the top applicants will be required to travel to Tremco’s headquarters to pitch their concept in-person. Airfare and hotel accommodation for the applicant representative will be arranged and paid for by Tremco. A judging committee comprised of Tremco personnel will review and evaluate the top applicants’ pitches based on qualitative and quantitative factors as determined by the judges to select the winners, which will be announced on December 16, 2022, at 12:00 p.m. EDT. Decisions of the judges are final.


4. DUTIES OF WINNERS 

Any Applicant selected as a winner agrees to participate in designated Challenge related events, if any, and positively promote the Challenge in a broad range of activities, including but not limited to, media interviews, video testimonials, communications pieces, and social media promotion. Any Applicant selected as a winner consents to publication of its name on the winner’s list. All promotional material will become the sole property of Tremco to use and publicize in its own discretion.


5. PRIZES

Three (3) Applicants will be chosen as winners in accordance with these Official Rules. Odds of winning depend on the total number of entries received. Prizes include a $10,000 grand prize lump sum and individualized mentorship opportunities, including but not limited to executive mentorship, startup coaching, marketing, research, and sales, which will be awarded to the winning Applicants as follows: 

  1. First Place Prize: $10,000 and 30 hours of individualized business mentorship from Tremco
  2. Second Place Prize: $5,000 and 20 hours of individualized business mentorship from Tremco
  3. Third Place Prize: $2,500 and 15 hours of individualized business mentorship from Tremco

Winners will be notified via email at the email address listed on the entry. All prizes will be sent to the qualified winning Applicants within thirty (30) days of selection, provided that all Eligibility Requirements set forth in these Official Rules have been met.

All hours of mentorship must be claimed within five (5) months of the award. Any Applicant selected as a winner is responsible for scheduling the mentorship hours with Tremco personnel at a mutually convenient time. No compensation for any unclaimed hours will be provided.


6. WINNERS LIST

To obtain a copy of the winners list, you may send a written request along with a stamped, self‐addressed envelope to: Tremco CPG Inc., Attn: BIG CHALLENGE, Marketing Department, 3735 Green Road, Beachwood, OH 44122. Vermont residents may omit return postage. Requests must be received no later than January 31, 2023, and names of winning Applicants will be sent after they have been confirmed.


7. INTELLECTUAL PROPERTY 

  1. Applicants retain all rights to their business plans and any associated intellectual property. Tremco cannot and does not take any responsibility to protect the intellectual property or other rights of the Applicants and Applicant releases Tremco and its parent, affiliates, subsidiaries, officers, directors, employees, agents, and representatives from any and all claims related to the protection or disclosure of Applicant’s intellectual property. Applicants are urged not to disclose any information in their entry which they consider confidential. 
  2. Applicant understands and agrees that the legal protection of any ideas, pitches, or plans submitted by the Applicant is the sole responsibility of the Applicant. 
  3. All materials submitted shall be the original work of the Applicant. Applicant certifies that it has sufficient ownership of the relevant intellectual property rights and the information provided.
  4. Applicant shall not submit any materials that (i) include any information that infringes any third-party proprietary, intellectual property, industrial property, personal rights, or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligations; (ii) otherwise violate applicable law; or (3) are subject to any actual or threatened litigation or claim. 


8. INDEMNITY AND RELEASE

Applicant unconditionally and irrevocably agrees to indemnify and hold Tremco and its successors, employees, officers, suppliers, contractors, agents, consultants, directors, and shareholders, harmless against any and all losses, claims, proceedings, actions, damages, liability, demands, expenses, legal costs, medical costs or other costs or expenses arising out of or in connection with the Applicant’s participation in the Challenge, to the maximum extent permitted by law. Applicant further agree to release Tremco, its parent, affiliates, subsidiaries, officers, directors, employees, agents, and representatives from any and all liability, loss or damages arising from or in connection with the awarding, advertising, receipt, use, or misuse of the prize or participation in any prize-related activities. 


9. LICENSE

Applicant has all right to grant and does hereby grant Tremco and its affiliates an irrevocable, royalty-free, worldwide, perpetual, non-exclusive license to entry materials submitted. Tremco and its affiliates may use, publish, display, distribute, reproduce, edit, adapt, and create derivative works from the entry materials in whole or in part, in any media now known or hereafter discovered, including in use on websites, in publications and for promotional purposes, without compensation or prior notice to the Applicant, its successors or assigns, or any other entity. Applicant further grants to Tremco and its affiliates the right to publicize Applicant’s name, location (city and state of residence), photograph, voice, statements, and other likeness information for any purpose related to the Challenge in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification, unless prohibited by law. 

ENTERING A SUBMISSION IN THIS CHALLENGE CONSTITUTES APPLICANT'S IRREVOCABLE ASSIGNMENT, CONVEYANCE, AND TRANSFERENCE TO TREMCO OF THE FOREGOING RIGHTS. 


10. ONLINE ENTRIES

Tremco shall not be responsible for incorrect or inaccurate transcription of entry information, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or website, inability to submit the online entry form, or any other error or malfunction, or any injury or damage to Applicant’s or any other person’s computer related to or resulting from participation or downloading any materials in the Challenge, or for late, lost, stolen, postage due, illegible or misdirected entries. If the Challenge or any website associated therewith (or any portion thereof) becomes corrupted or otherwise does not permit entry in the Challenge, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Tremco’s sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper operation of the Challenge, Tremco reserves the right, at its sole discretion, to disqualify any entrant implicated in such action, and/or to cancel, terminate, modify or suspend this Challenge or any portion thereof. Information collected will be used by Tremco in accordance with Tremco's online privacy policy posted at https://www.tremcocpg.com/privacy-policy. 11. ADDITIONAL OFFICIAL RULES 

  1. Tremco reserves the right to conduct any necessary due diligence on any Applicant, at Tremco’s sole cost and expense, as a condition awarding prize money to any Applicant.
  2. Tremco reserves the right, in its sole discretion, to modify these Official Rules for clarification purposes, to extend any deadlines, and/or to discontinue the Challenge at any time without notice.
  3. Information contained in the entry is part of these Official Rules.
  4. Prizes are taxable, and payment of the applicable taxes is the sole responsibility of the winner.
  5. E‐mail addresses and/or other personal information provided by Applicants may be used for the administration of the Challenge.
  6. Nothing in these Official Rules is intended or shall be construed to grant any license or other permission to any Applicant to use any trademarks, trade names, copyrighted materials, patents or other intellectual property rights or interest of Tremco at any time.
  7. All decisions are final, and no correspondence will be entered into.
  8. The laws of the state of Ohio in the United States of America shall govern this Challenge and the Official Rules herein.
